Terms of Service for FINVION

1. Description of the Service

FINVION is a software platform designed to analyze Amazon Advertising accounts, calculate profit-aware bid recommendations, evaluate keyword performance, reconstruct profitability, and assist advertisers in making data-driven, financially optimized decisions.

The Service may include features such as:

• Import of Amazon SP-API and Amazon Advertising data
• Profit reconstruction and performance analysis
• Bid recommendation calculations with safety rails
• Alerts and insights
• Pilot features or beta modules (functionality may vary)

FINVION does not automatically change ad settings on Amazon or any other platform. All advertising decisions and changes remain the user's responsibility.

2. Eligibility

By using the Service, you confirm that:

• You are at least 18 years old
• You are acting on behalf of a business or organization
• You have authority to enter into this agreement
• You will comply with all applicable laws

3. Account Registration

To access certain features, you may need to create an account.

You agree to:

• Provide accurate and complete information
• Keep your login credentials confidential
• Be responsible for all activity under your account
• Notify us immediately of any unauthorized access

We reserve the right to refuse or terminate accounts at our discretion.

4. Advertising Platform Connections

If you connect your Amazon Advertising account or Amazon SP-API account to FINVION, you authorize VENISIS GmbH to:

• Access the data permitted by the respective API
• Analyze and store that data for the purpose of providing the Service

You are responsible for:

• Maintaining valid API tokens
• Ensuring your use complies with Amazon policies
• Any changes made inside your advertising accounts

We are not affiliated with Amazon.

5. Acceptable Use

You agree not to:

• Copy, modify, reverse-engineer, or redistribute the Service
• Interfere with the platform's operation
• Use the Service for fraudulent, unlawful, or harmful purposes
• Attempt to bypass access controls or security features
• Scrape or extract data outside permitted use

We may suspend or terminate your access if we detect prohibited activity.

6. Beta / Pilot Program Terms

If you participate in a pilot or beta program:

• Features may be incomplete or unstable
• Data accuracy is not guaranteed
• Functionality may change or be removed at any time
• Access may be limited or revoked

Beta services are provided "as is" without warranties of any kind.

7. Fees and Payment

If you subscribe to a paid plan:

• Fees, billing cycles, and charges will be displayed at checkout
• Prices are subject to change with notice
• Payments are billed in advance
• Taxes may apply depending on your location
• Unpaid invoices may result in suspension or termination of access

All payments are non-refundable, except where required by law.

8. Intellectual Property

All rights, title, and interest in the Service, including software, algorithms, interface designs, analytics methods, and trademarks, are owned by VENISIS GmbH.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

You may not:

• Copy or reproduce the platform
• Create derivative works
• Use our branding without permission

9. No Guarantee of Advertising Performance

You acknowledge and agree that:

• FINVION provides analysis, calculations, and insights only
• We do not guarantee any improvement in ACOS, TACOS, ROAS, sales, profit, or advertising performance
• All decisions remain fully under your control
• FINVION does not replace a human advertiser or agency
• External factors (competition, auctions, budgets, algorithms, conversion rates, etc.) can affect performance and are outside our control

10. Data Privacy

Your use of FINVION is governed by our Privacy Policy, which describes how we collect and use data.

By using FINVION, you consent to our data practices.

11. Service Availability

We strive to keep the Service available but do not guarantee:

• uninterrupted operation
• error-free performance
• complete data accuracy
• support for all devices or browsers

Planned or unplanned downtime may occur.

12. Termination

You may cancel your subscription at any time, effective at the end of the current billing period.

We may suspend or terminate your access if:

• you violate these Terms
• your account is inactive or unpaid
• we discontinue the Service

Upon termination:

• your license to use the Service ends
• we may delete your account and associated data
• certain clauses (such as liability and IP ownership) will remain in effect

13. Disclaimer of Warranties

The Service is provided "as is" and "as available."

We disclaim all warranties, express or implied, including:

• merchantability
• fitness for a particular purpose
• non-infringement
• accuracy or reliability of results

Your use of the Service is at your own risk.

14. Limitation of Liability

To the maximum extent permitted by law, VENISIS GmbH is not liable for:

• lost revenue, profits, or data
• business interruption
• inaccuracies in analysis or recommendations
• third-party platform changes or outages
• indirect, incidental, or consequential damages

Our total liability for any claim will not exceed the amount you paid for the Service in the previous three (3) months.

Some jurisdictions do not allow certain limitations; those limitations may not apply to you.

15. Indemnification

You agree to indemnify and hold harmless VENISIS GmbH from claims arising out of:

• your use of the Service
• your advertising actions or account connections
• violations of these Terms
• infringement of third-party rights

16. Modifications to the Service or Terms

We may modify the Service or these Terms at any time.

If we make significant changes, we may notify you by:

• dashboard message
• posting the updated Terms on the website

Continued use of the Service constitutes acceptance of the updated Terms.

17. Governing Law

These Terms are governed by the laws of Germany, without regard to conflict-of-law principles.

If you are a merchant, the exclusive place of jurisdiction is Stuttgart, Germany.

18. Entire Agreement

These Terms, along with the Privacy Policy, constitute the entire agreement between you and VENISIS GmbH.

If any part is found unenforceable, the remaining sections will continue in full effect.
